Agent Simply Terms of Service

AGREEMENT BETWEEN TRAVELS AND AGENT SIMPLY

Thank you for choosing AgentSimply - Simply Manage Travels. AgentSimply provides simplified, flexible & complete solution for Travels in effectively managing & operating their business related to passenger ticketing and cargo booking on all their services. By using the AgentSimply website (“Service”) and all services of Bitla Software Pvt. Ltd.(“BitlaSoft”), You (“Travels”) are agreeing to be bound by the following terms, conditions, policies, guidelines or amendments there to known as the Terms of Service. BitlaSoft reserves the right to update and change the Terms of Service from time to time without notice. You can review the most current version of the Terms of Service at any time on our website. Any new features that augment or enhance the current Service, including the release of new modules, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms mentioned below will result in the suspension or termination of your Account. While BitlaSoft prohibits such conduct and Content on the Service, you understand and agree that BitlaSoft cannot be responsible for the Content posted on the Service and none other than you may be exposed to such materials. You agree to use the Service at your own risk.

TRAVEL ACCOUNT TERMS

• You (“Travels”) will be provided with a sub domain for your Travels. Each user under your account will have separate login, and only that person should use his login – a single login shared by multiple people is not permitted. You may create separate logins for as many people as you'd like - who will operate your Travels.
• All the activities performed under your account are completely controlled by you and all your users whom you create. You take complete responsibility of all the actions performed by all your users.
• You are responsible for maintaining the security of your account and password. BitlaSoft cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all Content posted and activity that occurs under your account by any of your users.
• You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).



CHARGES and BILLING



• You need to make one-month deposit of the Service Charge based on the type of Subscription on AgentSimply with BitlaSoft.
• The Service is billed on a monthly basis. An e-mail invoice will be sent on 1st of every month to Owner and Admin. Also, the statement will be made available in your account, accessible to Admin(s) & Owner(s).
• You must make the payment before 5th of every month. Mode of payment is a Demand Draft (DD) towards Bitla Software Pvt. Ltd. To avoid un-interrupted services, you must make the payment in time.
• All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

CANCELLATION and TERMINATION

• On cancellation/termination for whatever the reason, all of your Content will be immediately deleted from the Service. This information cannot be recovered once your account is cancelled. However you are free to extract all the information required through our reports.
• If you cancel the Service at any time, your cancellation will take effect immediately on the day of cancellation and the advance deposit will be used against the payment. There is no partial payment; the charges will be for that full month.
• BitlaSoft, in its sole discretion, has the right to suspend or terminate your account if you breach the Terms Of Service. Such termination of the Service will result in the suspension of your accounts and suspension of access to your entire user Accounts, and the forfeiture and relinquishment of all content in your Account.

UPGRADES TO THE SERVICE OFFERINGS and CHANGE IN PRICES

• BitlaSoft reserves the right at any time and from time to time to modify, improve or discontinue some of the features based on customers need.
• Lifetime free Maintenance Upgrades containing minor improvements & defect fixes
• Common improvement requests from you that fall in our roadmap may be considered for the Service for its next version. BitlaSoft reserves the right to accept or reject any of these improvement requests to be part of the Service and decides the timeline too. The Pricing for the same will be determined later.
• Prices of all Services, including but not limited to monthly subscription fees to the Service, are subject to change upon 20 days notice from us.
• BitlaSoft shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of part of the Service offerings.

CONTENT OWNERSHIP

• We claim no intellectual property rights over the material you provide to the Service. Your profiles and data uploaded remain yours and you are in full control of your data.
• BitlaSoft does not pre-screen Content, but BitlaSoft and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any

Content that is available via the Service, which is unlawful, and against the terms.

COPYRIGHT

• The text, images, audios, videos, training guides and all other content on our websites are copyright protected. All rights reserved.
• The design, look and feel of the Service is copyright protected. You may not duplicate, copy, or reuse any portion of the HTML/CSS/JavaScript or visual design elements without express written permission from BitlaSoft.

GENERAL CONDITIONS

• You expressly understand and agree that your use of the services is at your sole risk and that the services are provided "as is" and "as available".
• You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
• You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
• You must not transmit any worms or viruses or any code of a destructive nature.
• BitlaSoft does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected instantly.
• You expressly understand and agree that BitlaSoft shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if BitlaSoft has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
• You agree that if BitlaSoft does not exercise or enforce any legal right or remedy which is contained in the Terms (or which BitlaSoft has the benefit of under any applicable law), this will not be taken to be a formal waiver of BitlaSoft’s rights and that those rights or remedies will still be available to BitlaSoft.
• The Terms of Service constitutes the entire agreement between you and BitlaSoft and govern your use of the Service, superceding any prior agreements between you and BitlaSoft (including, but not limited to, any prior versions of the Terms of Service).
• Free technical support is provided by e-mail to all our customers.
• You understand that BitlaSoft uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
• You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, BitlaSoft, or any other BitlaSoft service.
• You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by BitlaSoft.
• Verbal, physical, written or other abuse (including threats of abuse or retribution) of any BitlaSoft customer, employee, member, or officer will result in immediate account suspension and then termination.
• You agree that BitlaSoft may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services.
